Notice (Translation / Prevailing version) This is an English translation of the General Terms and Conditions (GTC). In the event of discrepancies or differing interpretations, the German version of these GTC shall prevail and be legally binding.
1 General
These General Terms and Conditions form the basis for a fair customer relationship. By submitting an order, the customer agrees to these General Terms and Conditions. We do everything we can to serve our customers in line with their needs and to their full satisfaction. In order to keep these General Terms and Conditions easy to read, we use the masculine form; naturally, we also address female customers.
2 Scope of application
These General Terms and Conditions (GTC) govern the relationship between Rudolf Bindella Weinbau-Weinhandel AG, Hönggerstrasse 115, 8037 Zurich (hereinafter “Bindella”), and you as a Bindella customer (hereinafter “Customer” or “you”). Any deviating agreements require written form to be valid. Our entire offering on www.bindella.ch is aimed at customers within Switzerland and the Principality of Liechtenstein. No deliveries are made to other countries.
3 Conclusion of contract
With the exception of Sections 5.1 and 8.1, the offer to conclude a contract is made by you as the Customer by clicking the “Place order” button after fully completing the order page. You remain bound to your order for one week. The contract is concluded in a binding manner if we accept the order within this period in accordance with the provisions below.
After submitting the order, you will receive an automated email confirming receipt of the order by us (order receipt confirmation). The order confirmation merely serves to inform you that we have received the order.
A contract only becomes valid once we declare acceptance of the contract. We declare acceptance by issuing an invoice to the Customer, confirming the order (order confirmation), confirming by email that the goods are leaving our warehouse (shipping confirmation), or at the latest by delivering the goods.
The contract is concluded only for those items that are expressly listed in our invoice, the order confirmation, or the shipping confirmation. This also conclusively defines the scope of performance.
The Customer has the option to print the order and the entered data during the ordering process. It is also possible to open a customer account. In the customer account, order data can be viewed after entering personal access data. Bindella reserves the right to block customer accounts at its own discretion and without stating reasons.
4 No sale to minors
Bindella does not sell alcohol to minors under 18 years of age. By placing an order on www.bindella.ch, the Customer confirms the correctness of the information provided and thus their authorization to purchase. Upon handover of the goods, Bindella, or a shipping partner, is entitled at any time to verify the Customer’s age by means of an official identification document.
5 Vouchers
5.1 Purchase of vouchers
On our website you can purchase vouchers as a gift for another person or for yourself. In deviation from Section 3, the offer to conclude the contract for the purchase of the voucher is made by us. The contract is concluded in a binding manner once you have entered all required information and completed your order, i.e., after clicking the “Buy” button and successful payment.
Purchase requires advance payment using the payment methods offered on the website. Purchase on account is not possible. If offered on the website, it is possible to order a voucher in credit card format or in “Print at Home” format. When ordering vouchers in credit card format, we charge a fee of CHF 5.00 for material and delivery.
Unless explicitly stated otherwise in the voucher description on the website, the following conditions apply: The minimum amount for a voucher is CHF 20.00, and the maximum voucher amount is CHF 9,999.00. Vouchers can be recharged in our restaurants and Vinotecas if required. A voucher entitles the holder to obtain goods or services in our online shop, our Vinotecas, or the restaurants of the Bindella Group. The validity period is 5 years from the date of issue. Vouchers cannot be returned or redeemed for cash, including in the case of small remaining balances. As the holder of the voucher, you are obliged to keep the voucher and the PIN code in a safe place. Replacement, refund, or liability in the event of loss or theft is excluded.
5.2 Redeeming vouchers in the online shop
In the online shop, a voucher can be used during the payment process by entering the voucher number and, in some cases, the PIN code. The voucher amount will be credited against the purchase price. If the full voucher amount is not used when paying with a voucher, the remaining balance remains on the voucher. If a holder purchases for an amount higher than the voucher value, the difference must be paid during the payment process using another payment method.
6 Special conditions for end customers
6.1 Definition of end customer
The conditions under Section 6 apply to private individuals and companies domiciled in Switzerland or the Principality of Liechtenstein as end purchasers.
6.2 Prices
All prices are per item in Swiss francs, including VAT. Price changes and limited-time promotions are possible at any time and do not require prior notice. Net items are marked with “n” or “netto”.
6.3 Customer discount
The customer discount is based on the previous year’s turnover. The customer discount is calculated by Bindella in January and applies from 01.02. to 31.01. of the following year. Adjustments to the customer discount during this period are generally not possible. The discount rate is defined as follows:

The customer discount does not apply to items marked as net; however, their value is taken into account for the annual turnover.
6.4 Payments
Payment of the purchase price can be made by credit card (VISA, Mastercard, AMEX), debit card, PayPal, Postcard, or invoice, insofar as provided for and available on the website. Data for payments by credit and debit cards is transmitted in encrypted form.
If Bindella accepts payment of the purchase price by invoice, the purchase price is due within 30 days from the invoice date. Cash discount deductions are not accepted. For late payments, default interest of 5% is charged. Reminder fees are charged at a flat rate of CHF 20.00.
For purchases with advance payment, the desired order is only processed once the corresponding payment has been received. Items in the order cannot be reserved. If payment is not received by Bindella within 10 days, Bindella may cancel the order.
Until the invoice has been paid in full, the goods remain the property of Bindella.
6.5 Delivery & shipping costs
Delivery is subject to timely and proper self-supply by our suppliers. In cases of force majeure such as strikes and other labor disputes, riots, war, natural disasters, as well as delivery bans imposed by the manufacturer or upstream supplier, no delivery delay occurs. Bindella is not liable for delivery delays caused by suppliers or by third parties.
If not all ordered goods are in stock, we are entitled to make partial deliveries. If, after conclusion of the contract, it turns out that goods cannot be delivered in whole or in part for reasons not attributable to the seller, the Customer is entitled to withdraw from the contract.
In addition, Bindella reserves the right to adjust the ordered quantities after the order receipt confirmation, in particular in the case of items with limited availability (see Section 6.7).
Delivery is made to the invoice recipient or to a delivery address chosen by them in Switzerland or the Principality of Liechtenstein. In principle, the ordered goods are delivered on our behalf by truck, post, or Vinolog according to the following cost rules:
Deliveries with a value from CHF 250.00 are delivered free of charge For deliveries below CHF 250.00, a flat fee of CHF 15.00 is charged For destinations that cause additional effort (car-free areas, access via fee-based mountain railways, etc.), the additional costs are charged For express deliveries, the actual costs incurred are charged to the customer
Quantities up to 30 bottles are generally delivered by post or Vinolog. Delivery is carried out as quickly as possible.
Our obligation is an obligation to dispatch and is fulfilled upon handover to the carrier. After dispatch, the risk of accidental deterioration and accidental loss of the goods passes to the Customer. We are not liable for fault on the part of the transport company used.
6.6 Pick-up
The ordered goods can be picked up directly in our Vinotecas in Zurich, Bern, or Ticino. No shipping costs apply for pick-up in a Vinoteca.
As soon as your order is ready for pick-up, you will be informed by email. Payment (see also Section 6.4) is made directly upon pick-up of the goods at the respective Vinoteca, unless your order has already been paid in advance.
If the goods are not picked up within five weeks from the time they are ready for pick-up, Bindella is entitled to cancel the order. In the event of cancellation, there is no entitlement to reorder under the original conditions, in particular not at promotional or special prices.
6.7 General availability
Our assortment (products, vintages, etc.) is subject to constant change. Short-term assortment and/or vintage changes remain reserved. A complete and continuous availability of our offering on www.bindella.ch can therefore not be guaranteed.
6.8 Items with limited availability incl. rarities
Our assortment also includes wines and spirits with limited availability or items for which demand exceeds supply. On the one hand, this enhances our assortment; on the other hand, such scarcity can make allocation of these wines to our customers more difficult. It is our task and policy to ensure the fairest possible, non-speculative distribution throughout Switzerland. In doing so, we must also comply with producers’ requirements (product mix). We ask for your understanding.
6.9 Warranty
The condition of the received goods must be checked immediately upon receipt; after eight days, the delivery is deemed approved.
Vintages older than 9 years and all Bordeaux wines are sold as “Buyer’s risk”. The buyer bears the risk of a possible defect (e.g., cork taint).
7 Special conditions for resellers
7.1 Definition of resale
Resellers are positioned between Bindella and the end customer and sell products and services purchased from Bindella to the end customer. Resellers include (exhaustive list): Businesses active in the hospitality industry, Hotels, Wholesale and retail traders with The conditions under Section 7 apply to these resellers.
7.2 Prices
All prices are in CHF excluding VAT. Price changes and limited-time promotions are possible at any time and do not require prior notice. Net items are marked with “n” or “netto”.
7.3 Customer discount
The customer discount is based on the previous year’s turnover excluding VAT. The customer discount is calculated by Bindella in January and applies from 01.02. to 31.01. of the following year. Adjustments to the customer discount during this period are generally not possible. The discount rate is defined as follows:

7.4 Payments

In addition, Bindella reserves the right to adjust the ordered quantities after the order receipt confirmation, in particular for items with limited availability. See 7.6 General availability below.
We supply exclusively Switzerland and the Principality of Liechtenstein. For deliveries whose value falls below CHF 500.00 excluding VAT, we charge a small-quantity surcharge or transport cost share of CHF 15.00. Outside our route plan, transport costs are borne by the buyer (at cost price).
7.6 General availability

7.7 Items with limited availability incl. rarities

7.8 Warranty
The condition of the received goods must be checked immediately upon receipt; after eight days, the delivery is deemed approved.
Corked wines are credited at a flat rate of 0.5% directly on each order.
Vintages older than 9 years and all Bordeaux wines are sold as “Buyer’s risk”. The buyer bears the risk of a possible defect (e.g., cork taint).
7.9 Reusable containers
Returnable bottles are charged and cannot be deducted when paying the invoice. Vini crates are provided free of charge.
The recipient is obliged to return these to the supplier as part of ongoing purchases. Charged reusable containers can only be taken back or credited within the scope of the quantities supplied by us. Non-conforming glass is excluded and not credited. The maximum return period for containers is one year after delivery.
8 Special conditions for events
8.1 Registration
Registration for an event is made by phone, email, or online. Confirmation is provided by email. Registration is binding.
8.2 Event fee
Registration obliges the participant to pay the event fee. Non-payment of the event fee does not count as cancellation.
The payment terms apply in accordance with the conditions on the invoice for the event fee. In any case, the event fee must be paid in full before the start of the event.
8.3 Cancellation / rescheduling
The options for cancelling an event depend on the amount of the event fee and the time of cancellation.
An event may not be rescheduled more than once. If participation does not take place more than twice, the full event fee is due and cannot be refunded.
8.3.1 Event with a fee up to CHF 50
Due to the low fee, such events cannot be cancelled.
Rescheduling participation is possible free of charge up to 72 hours before the start of the event, provided an alternative date is available and the original running of the event is not jeopardized. If, due to the cancellation, there are too few participants for the event to take place, Bindella may still charge the event fee.
If rescheduling takes place less than 72 hours before the start of the event, a reorganization fee of CHF 15.00 will be charged.
8.3.2 Event with a fee between CHF 50 and CHF 100
If cancellation takes place up to two weeks before the start of the event, a goodwill amount of 50% of the event fee will be refunded in the form of a Bindella voucher. In the event of no-show without prior cancellation, no refund will be made.
Rescheduling participation is possible free of charge up to 72 hours before the start of the event, provided an alternative date is available and the original running of the event is not jeopardized. If, due to the cancellation, there are too few participants for the event to take place, Bindella may still charge the event fee.
If rescheduling takes place less than 72 hours before the start of the event, a reorganization fee of CHF 15.00 will be charged.
8.3.3 Event with a fee over CHF 100
Cancellation is possible free of charge up to two weeks before the start of the event; the event fee will be fully refunded. If cancellation occurs less than two weeks before the start, no refund will be made. As a gesture of goodwill, however, an amount of CHF 50.00 will be paid out in the form of a Bindella voucher. If cancellation occurs less than 72 hours before the start, the full event fee is due.
Rescheduling participation is possible free of charge up to five days before the start of the event, provided an alternative date is available and the original running of the event is not jeopardized. If, due to the cancellation, there are too few participants for the event to take place, Bindella may still charge the event fee.
If rescheduling takes place less than 5 days before the start of the event, a reorganization fee of CHF 30.00 will be charged.
8.3.4 Private events
For private events, an individual offer is prepared. Acceptance is made by email, phone, in person, or by signature.
The defined minimum number of participants serves as the basis for calculation. Changes in the number of participants may result in price changes. The final number must be reported no later than seven days before the start of the event.
If too few participants are registered, Bindella may charge the full costs for the originally agreed number of participants or cancel the event without replacement.
Cancellation or rescheduling is possible free of charge up to two weeks before the start.
If cancellation occurs less than two weeks before, 50% of the fee is due.
If cancellation occurs less than 72 hours before, the full fee is due.
8.4 Event voucher
Event vouchers can be issued with or without a date and cannot be split across multiple events. The invoice for the voucher must be paid before the start of the event.
Conversion into a value voucher is possible for a processing fee of CHF 15.00. Cash payment is excluded.
The validity period is 5 years from issuance.
8.5 Execution and event places
To ensure optimal execution, maximum numbers of participants may be set. Allocation is based on the time of registration.
If there are too few participants, Bindella may cancel the event without replacement; the fee will be fully refunded. Further claims (e.g., travel or interest costs) are excluded.
8.6 Terms of participation, youth protection and health provisions
Participation in wine events requires that all registered persons have reached the minimum age of 18. Bindella is entitled at any time to verify age by means of an official identification document and to exclude participants from participation if the minimum age is not met. In this case, the event costs cannot be refunded.
Participants are responsible for ensuring that they are medically fit to participate in the respective event. Bindella assumes no liability for health risks that may arise from participation.
Participants are obliged to inform Bindella independently of any allergies or intolerances no later than 3 days before the start of the event. Without such notification, Bindella assumes no responsibility for any health consequences arising from this.
If a registered participant is unable to attend, a substitute person may participate in their place, provided the conditions of participation (e.g., minimum age) are met.
8.7 Exclusion of liability for personal belongings
Bindella assumes no liability for loss, damage, or theft of personal belongings during the event. Personal valuables are always kept at the participant’s own responsibility.
8.8 Data protection notice
By registering for an event, participants agree that Bindella may use their contact data to send information and advertising about future events.
When participating in competitions, participants consent to personal data (e.g., name, address, email) being used for sending newsletters of any kind.
Unsubscription is possible at any time.
8.9 Image and audio recordings
Bindella may create audio and image recordings during the event and use them for marketing purposes on any of its own platforms and media.
If participants do not wish to be recorded or object to the use of their recordings, they must actively communicate this before or during the event.
9 Special conditions for wine and cultural trips
9.1 Registration / conclusion of contract
By receiving a written, telephone, personal, or online registration, a contract is formed between the participant and Bindella. If the participant registers additional travelers, they assume contractual responsibility for all registered participants (in particular payment of the travel price). The contractual arrangements apply to all participants.
From experience we know that the final number of participants must be communicated to the airlines early. We therefore recommend registering in good time. Provisional registrations are possible up to two months before the start of the trip.
9.2 Our services
Our services result from the separate trip description and the travel program. They apply only from Zurich Airport or from the departure location defined in the trip description. Timely arrival at the departure location is the responsibility of the participants.
9.3 Package price
The price to be paid is in Swiss francs including VAT and (unless otherwise stated) per person. The price includes transport costs, accommodation, catering, visits to wineries, and cultural offerings.
9.4 Payment terms
Depending on the arrangement and the time of registration, we charge a portion of the costs (deposit) at the latest two months before departure and the remaining payment 30 days before the start of the trip.
In the event of late payment, Bindella has the right to withdraw from the contract without compensation and to demand the cancellation costs in accordance with Section 9.5.
9.5 Cancellation by the participant
Our cancellation conditions come into effect when the participant withdraws from the booked trip. Cancellation must in all cases be made in writing. The following costs apply:
90 days before departure: Full refund of travel costs 60 days before departure: 80% refund of travel costs 45 days before departure: 50% refund of travel costs
Less than 45 days before departure or in the event of no-show, no costs will be refunded.
The date of receipt of the written cancellation is decisive for the calculation of cancellation costs. No fees are charged for cancelling a provisional registration up to two months before the start of the trip.
9.6 Program changes or cancellation by Bindella
Bindella reserves the right to change individual agreed services if unforeseen circumstances require it. However, Bindella will always endeavor to provide an equivalent substitute service.
Minimum numbers of participants apply to our trips. Bindella reserves the right to cancel the trip no later than 15 days before the start of the trip if the minimum number of participants is not reached.
9.7 Insurance
Participants are not insured by Bindella. Participants must have their own health and accident insurance. Bindella also recommends taking out additional cancellation insurance.
10 Data protection
The collection and processing of customers’ personal data by Bindella is explained in the privacy policy. This forms an integral part of these GTC. The privacy policy can be accessed at www.bindella.ch/datenschutzerklärung. The Customer hereby consents to the use of personal data for the personalization of advertising and product offers displayed on the website. Personal data will not be passed on to advertisers.
11 Place of jurisdiction
Swiss law shall apply exclusively. The exclusive place of jurisdiction is Zurich.
